Association for research, teaching and promoting the Ostéopathie Haemodynamics

Article 1 - Name


It is based between the adherents to these statutes an association governed by the Act of 1 July 1901 and the Decree of 16 August 1901, entitled: TEUTAROS

Article 2 - Purpose


This association aims to: training, education, applied research in the field of osteopathy and particularly hemodynamic osteopathy based motility Muscular Permanente (MMP), as well as advocacy and representation may be events and meetings.

Article 3 - Head Office


The head office is set at 98 rue des Batignolles 75017 Paris.
It may be transferred by simple decision of the board of directors, the ratification by the General Assembly is required.

Article 4 - Duration


The association is established for an unlimited period.

Article 5 - Membership


The association consists of:
founding members
Honorary members
Active members or members
Patrons
collective members.

Article 6 - Admission


To join the association, it must be approved by the Board which shall, if necessary at its meetings on applications for admission, the Bureau's decision is final and no substantiation. The Office classifies the members in the category that corresponds.
It must also:
adhere to the laws of the association,
be consistent with the concepts of association in relation to the practices within it,
be up to date with its membership and contributions.
Article 7 - Members

1 / Founding Members are those who have decided together to found the association. These members are not required for membership and annual dues. They are permanent and have two votes each. They are Mr Hervé JULIEN, M. Jaïs AZOULAY, Ms. Véronique JEANNOT, and Jean Louis GAUDRON.
2 / Honorary Members are persons who have rendered service to the association reported. These members may be exempt from levy on simple decision of the office.
3 / Active Members are those who organize activities.
4 / Supporting Members are those who pay the association a sum greater than the membership and the dues of active members.
5 / Collective Members are groups seeking to link the association to share in its goals. Membership of the group, represented by an agent (manager or his delegate), involves all the members of this group to TEUTAROS.
The amount of membership dues and active members, benefactors, or collective, is offered annually by the Board and endorsed by the General Assembly.

Article 8 - Radiation


The quality of member is lost by:
The resignation
Death,
The radiation delivered by the Office for non-payment of dues after a reminder to the person or to cause the person concerned has been invited by letter to appear before it to provide explanations.

Article 9 - Resources


The resources of the Association include:
the amount of entrance fees, memberships, dues and subscriptions of its members.
any subsidies granted by government and communities.
Grants from the State, regions, departments and municipalities.
Grants from companies and corporations.
European subsidies.
Product demonstrations, the payments received for services rendered and, in general, all resources and all occasional products and any contributions not prohibited by the Act.

Article 10 - The Office


Members elected at the AGM or an AGE among its members a Chairman and a Treasurer, a Vice President and a Secretary at the Bureau.
If necessary, the office can add a Secretary General, a Vice-President, Assistant Treasurer, an Assistant Secretary General. The Office is also partially renewed each year.

Article 11 - Ordinary General Assembly


The Ordinary General Meeting (OGM) includes all members of the association, provided that they are up to date with their membership and dues for the current year. Members may be represented by other members, without limiting the number of mandates.
The OGM meets once a year at the invitation of the President who sets the agenda, stated on the invitations sent at least fifteen days before the deadline. Collective members have a voice, they are represented by their leader or his delegate.
The OGM intends annual reports on the management of the Office and on the moral and financial management of the association. It approves the accounts and votes on the budget estimate.
It provides for the renewal of the Bureau.
The OGM can also be convened at any time at the request of the chairman or at the request of 2 / 3 members of the association.
The OGM can validly deliberate regardless of the number of members present and represented.
Decisions are taken by a simple majority of votes cast by members present or represented.

Article 12 - Extraordinary General Meeting


If need be, or at the request of at least two thirds of the members of the association, the President may convene an Extraordinary General Meeting (EGM).
AGE includes all members of the association, provided that they are up to date with their membership and dues for the current year. Members may be represented by other members, without limiting the number of mandates.

EGM may validly deliberate regardless of the number of members present and represented.
It has sole jurisdiction for any amendment of the Constitution or to dissolve the association.
Decisions of the EGM shall be taken by 2 / 3 majority of members present and represented.

Article 13 - Dissolution


In case of dissolution pronounced by at least two thirds of the members present at the General Assembly, statutory or judicial, the Extraordinary General Meeting shall decide on the devolution of property of the association, without being able to assign members of the association something other than their contributions. It means public schools, private schools recognized of public utility or possible associations with an object similar to that of the dissolved association who will receive the remaining assets after payment of all debts and expenses of the Association and all costs of liquidation. It called for the operations of liquidation, one or more members of the association who are vested with all powers necessary. That in accordance with Article 9 of the Act of 1 July 1901 and Decree of 16 August 1901.

Article 14 - Rules of Procedure


Rules of procedure may be established by the Office which shall then be approved by the Ordinary General Assembly.

This regulation determines if the details of implementation of these statutes and the various fixed points which are not anticipated, including those related to the internal administration of the association.
